Ad Hoc Website Work Agreement for My Services

Since it is very difficult to know at the outset what services You will require from Me to help You when undertaking work on an "ad hoc" basis, this simple agreement (“Agreement”) helps to set out and explain the terms that govern the basis on which I provide the Services.

A few definitions

In this Agreement, unless the context otherwise requires, the following expressions have the following meanings:

“You”, “Your”, “Client” – you, a private individual as named and signed at the foot of this Agreement;

“Me”, “My”, “I”, “Contractor” – Neil Huzinga, t/a refraqt web development;

“Services” – means, collectively, the work to be carried out by Me for You as determined in our conversations, email etc.

Basis upon which My Services are provided under this Agreement

Given the limited nature of the interaction that working on an ad hoc basis allows, we both acknowledge that it is unreasonable for You to have provided Me with a full brief of the issue(s) or tasks(s), or a comprehensive scope of the Services You need Me to provide – often the required Services are very simple and can be explained, responded to and fixed in a matter of minutes.

My Services, therefore, are offered on the basis of “good faith” only and I make no warranty of merchantability or fitness for a particular purpose. I will, of course, provide all Services in a timely and orderly fashion and use all due care and skill in accordance with current standards appropriate to the WordPress website design industry.

Since a fixed price based on a definitive scope is unable to be offered or accepted at the outset of the Services, You agree to indemnify Me against any and all liability, loss, damage, costs, legal costs, professional and other expenses of any nature whatsoever incurred or suffered by You or by a third party whether direct, indirect or consequential arising out of any dispute or contractual, tortious or other claims or proceedings brought by a third party alleging infringement of his intellectual property rights by the parts of your website modified or supplied by Me following completion of the Services contemplated under this Agreement.


Please bear in mind that, on certain occasions, You might ask Me to access Your or self-hosted WordPress site or that of Your hosting provider. That would require You to provide Me with administrator log-in details and privileges.

I would therefore remind You to ensure that any password You provide me is used for these purposes alone and is not in any way similar to any other password You use. Similarly, as soon as the Services are complete, please ensure You delete any administrator profiles You might have created to enable My access to the sites and services You requested.

I will treat any log-in or related information as confidential and use it only for the purposes contemplated by the Services under this Agreement. As soon as the Services are complete, I will securely and irrevocably destroy any such confidential information provided to Me.

Nature of this Agreement

The relationship between the Parties shall be that of an independent Contractor and Client.  This Agreement shall not create any partnership, joint venture, agency, fiduciary, or employment relationship between the Parties.

Law and Jurisdiction

This Agreement shall be governed by the laws of England and Wales, and any dispute between the Parties relating to this Agreement shall fall within the jurisdiction of the courts of England and Wales.


This Agreement becomes effective upon the signature of both Parties below.
